Terms of Service

PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY ACCESSING OR USING CHEFORA, YOU AGREE TO BE BOUND BY THESE TERMS.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Buyer," "Seller," or "you") and Chefora ("Chefora," "Platform," "we," "our," or "us").

By creating an account, browsing the Platform, placing an order, listing food products, or otherwise using Chefora, you agree to these Terms.

If you do not agree, do not use the Platform.

2. Platform Description

Chefora is an online marketplace that connects independent food sellers ("Chefs") with customers ("Buyers"). Chefora is a technology platform only.

Chefora does not: prepare food, cook food, store food, package food, deliver food, inspect food, test food, operate kitchens, or employ Chefs.

All food products are offered and sold by independent third-party sellers.

3. Eligibility

You must be at least eighteen (18) years old, have legal capacity to enter into contracts, and provide accurate registration information. Chefora may suspend or terminate accounts that violate eligibility requirements.

4. User Accounts

You are responsible for maintaining account security, maintaining password confidentiality, and all activity occurring under your account. You must immediately notify Chefora of unauthorized access.

5. Marketplace Transactions

All purchases are transactions between Buyers and independent Chefs. Chefora facilitates marketplace functionality but is not a party to food sales agreements between Buyers and Sellers.

6. Food Safety Disclaimer

Chefora does not verify food safety practices, ingredient accuracy, allergen disclosures, nutritional claims, health code compliance, or food quality. Food products are prepared by independent sellers. Users assume all risks associated with food consumption.

7. Allergy Warning

Food products may contain or come into contact with peanuts, tree nuts, dairy, eggs, wheat, soy, fish, shellfish, and sesame. Buyers are solely responsible for reviewing product information and communicating dietary restrictions. Chefora makes no guarantee regarding allergen-free products.

8. Payments

Payments are processed through Stripe and other approved payment providers. By submitting payment information, you authorize applicable charges associated with your order. Chefora reserves the right to cancel or refuse transactions suspected of fraud or abuse.

9. Fees

Chefora may charge marketplace fees, service fees, processing fees, or other disclosed fees. Fees may change at any time.

10. Order Cancellations

Orders may be canceled subject to Seller policies, Platform policies, and applicable laws. Refund eligibility may vary depending on preparation status and fulfillment stage.

11. User Content

Users may submit reviews, ratings, photos, comments, and messages. By submitting content, you grant Chefora a worldwide, royalty-free, perpetual license to use, display, reproduce, and distribute such content.

12. Prohibited Conduct

Users shall not violate laws, commit fraud, impersonate others, upload malicious software, manipulate ratings, harass users, or interfere with platform operations. Chefora may remove content or terminate accounts for violations.

13. Intellectual Property

All platform content, trademarks, logos, designs, software, and branding are owned by Chefora or its licensors. Users may not copy, distribute, modify, reverse engineer, or exploit platform content without written permission.

14. Third-Party Services

The Platform may utilize third-party providers including payment processors, mapping services, communication services, and analytics providers. Chefora is not responsible for third-party services.

15. Disclaimer of Warranties

The platform is provided "as is" and "as available." Chefora disclaims all warranties including merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, and availability. Chefora does not guarantee uninterrupted or error-free service.

16. Limitation of Liability

To the maximum extent permitted by law, Chefora shall not be liable for foodborne illness, allergic reactions, personal injury, death, product defects, delivery failures, lost profits, lost data, or indirect, incidental, or consequential damages. Chefora's maximum liability shall not exceed the greater of (A) $100 USD; or (B) the amount paid by the user to Chefora during the twelve months preceding the claim.

17. Indemnification

Users agree to defend, indemnify, and hold harmless Chefora and its owner, employees, contractors, successors, and affiliates from claims arising from user conduct, user content, violation of laws, violation of these Terms, food sales by Sellers, or misuse of the Platform.

18. Dispute Resolution

Any dispute shall be resolved through binding arbitration in California. Users waive the right to trial by jury.

19. Class Action Waiver

Users agree to bring claims only in their individual capacity. Users waive participation in class actions, representative actions, or consolidated proceedings to the fullest extent permitted by law.

20. Termination

Chefora may suspend or terminate accounts at any time, with or without notice, for violations of these Terms or protection of marketplace integrity.

21. Governing Law

These Terms shall be governed by the laws of the State of California without regard to conflict of law principles.

22. Changes to Terms

Chefora may modify these Terms at any time. Continued use of the Platform constitutes acceptance of revised Terms.

24. Entire Agreement

These Terms constitute the entire agreement between Users and Chefora regarding use of the Platform.

Privacy Policy

Chefora respects your privacy and is committed to protecting your personal information. This Privacy Policy explains how we collect, use, disclose, store, and protect information when you use the Chefora platform. By using the Platform, you consent to the practices described in this Privacy Policy.

1. Information We Collect

A. Information You Provide
Full name, email address, phone number, username, password, billing information, payment information, delivery addresses, profile photographs, government-issued identification (for sellers), food permits and certifications (for sellers), and customer support communications.

B. Transaction Information
Order history, purchase amounts, seller payouts, refund requests, chargeback information, and transaction timestamps.

C. Device Information
Device type, operating system, browser information, IP address, device identifiers, app version, and crash reports.

D. Location Information
With your permission, we may collect precise location, approximate location, and delivery location data. Location services may be disabled through your device settings.

E. Usage Information
Pages viewed, features used, search activity, session duration, and platform interactions.

2. How We Use Information

We use information to create user accounts, process transactions, facilitate marketplace operations, verify seller identities, verify permits and certifications, prevent fraud, detect security threats, provide customer support, improve platform performance, personalize user experiences, send account notifications, and comply with legal obligations.

3. Payment Processing

Payments are processed through third-party payment providers including Stripe. Chefora does not store full credit card numbers on its servers. Payment information is subject to the privacy policies of applicable payment processors.

4. Seller Verification

To promote marketplace integrity, Chefora may collect government-issued identification, business licenses, food permits, food handler certifications, tax information, and banking information for payouts. Seller verification does not constitute certification, endorsement, inspection, or approval of any seller.

5. Sharing of Information

A. Sellers — Information necessary to fulfill orders including customer name, contact information, delivery information, and order details.

B. Service Providers — Vendors that assist us with payment processing, cloud hosting, analytics, email delivery, customer support, identity verification, and fraud prevention.

C. Legal Requirements — We may disclose information to comply with legal obligations, respond to court orders, protect rights and safety, and investigate fraud.

D. Business Transfers — If Chefora is sold, merged, or reorganized, information may be transferred as part of the transaction.

6. Data Retention

We retain information for as long as reasonably necessary to operate the Platform, resolve disputes, enforce agreements, and comply with legal obligations. We may retain certain information after account closure where legally permitted.

7. Security

We implement commercially reasonable safeguards designed to protect information from unauthorized access, disclosure, alteration, or destruction. However, no security system is completely secure, and Chefora cannot guarantee absolute security.

8. California Privacy Rights

California residents may have rights under applicable California privacy laws including the right to know, right to access, right to delete, right to correct, and right to opt out of certain data sharing. Requests may be submitted through the contact information provided below.

9. Children's Privacy

The Platform is intended only for individuals eighteen (18) years of age or older. Chefora does not knowingly collect personal information from children. If we learn that information has been collected from a minor, we may delete such information.

10. Cookies and Tracking Technologies

We may use cookies, analytics tools, session tracking technologies, and mobile identifiers. These technologies help improve functionality and user experience. Users may adjust browser settings to limit certain tracking technologies.

11. Third-Party Links

The Platform may contain links to third-party websites and services. Chefora is not responsible for third-party privacy practices. Users should review third-party privacy policies independently.

12. Account Deletion

Users may request account deletion by contacting Chefora. Certain information may be retained to complete transactions, resolve disputes, prevent fraud, and comply with legal obligations.

13. International Users

The Platform is intended primarily for users located within the United States. By using the Platform, users consent to the processing and storage of information in the United States.

14. Changes to This Policy

Chefora may modify this Privacy Policy from time to time. Material changes may be communicated through the Platform. Continued use of the Platform constitutes acceptance of any updated policy.

Refund & Cancellation Policy

This Refund & Cancellation Policy governs all orders placed through the Chefora platform. By placing an order through Chefora, Buyers agree to this Policy.

1. Marketplace Status

Chefora is a technology marketplace that connects independent food sellers ("Chefs") with customers ("Buyers"). Chefora does not prepare, cook, package, store, transport, or deliver food. Because food products are prepared by independent Chefs, refund decisions may differ from traditional retail purchases.

2. Order Cancellations by Buyers

A. Before Acceptance — If a Chef has not yet accepted an order, Buyers may cancel and receive a full refund.

B. After Acceptance But Before Preparation — If a Chef has accepted but has not begun preparation, Buyers may be eligible for a full or partial refund at Chefora's discretion.

C. After Food Preparation Begins — Once food preparation has begun, orders generally become non-refundable, because food products are custom-prepared and may not be resold.

D. After Completion or Delivery — Completed, picked-up, or delivered orders are generally not eligible for cancellation.

3. Refunds for Order Issues

Buyers may request a refund if the wrong item was received, a substantial portion of the order is missing, the order was not delivered, the order was canceled by the Chef, the food arrived in an unusable condition, or the order significantly differs from the listing description.

Refund requests must be submitted within forty-eight (48) hours of delivery or pickup.

4. Non-Refundable Situations

Refunds generally will not be issued for personal taste preferences, change of mind, minor presentation differences, delays outside the Chef's control, failure to read ingredient descriptions, failure to disclose food allergies, failure to collect an order, or incorrect delivery information provided by the Buyer.

5. Allergy and Dietary Restrictions

Buyers are responsible for reviewing ingredient information and communicating dietary restrictions directly with the Chef when appropriate. Chefora does not guarantee allergen-free preparation environments. Refunds may be denied when issues arise from undisclosed allergies, dietary restrictions, or ingredient assumptions.

6. Chef Cancellations

If a Chef cancels an order before fulfillment, the Buyer will receive a full refund. Repeated Chef cancellations may result in account restrictions or suspension.

7. Delivery Issues

A. Incorrect Address — Buyers are responsible for providing accurate delivery information. Refunds may be denied if delivery cannot be completed due to incorrect information.

B. Failed Delivery Attempts — If a Buyer is unavailable to receive an order and the Chef cannot complete delivery, refunds may be denied.

C. Delays — Reasonable delays caused by weather, traffic, emergencies, or circumstances beyond a Chef's control do not automatically qualify for refunds.

8. Food Quality Complaints

Chefora may investigate complaints involving food quality, incorrect items, missing items, packaging issues, and safety concerns. Buyers may be asked to provide photographs, written descriptions, and supporting documentation. Failure to provide requested information may result in denial of a refund request.

9. Refund Methods

Approved refunds will generally be issued to the original payment method used during purchase. Processing times depend on financial institutions and payment providers.

10. Partial Refunds

Chefora may issue partial refunds when only a portion of an order is affected.

11. Chargebacks

Before initiating a chargeback with a financial institution, Buyers are encouraged to contact Chefora Support. Improper, fraudulent, or abusive chargebacks may result in account suspension, account termination, collection efforts, and recovery of losses and fees.

12. Fraud Prevention

Chefora reserves the right to deny refund requests that appear fraudulent, abusive, repetitive, or unsupported by available evidence.

13. Platform Discretion

To maintain marketplace integrity, Chefora reserves the right to make final determinations regarding refunds, credits, cancellations, disputes, and account actions.

14. Account Credits

In some circumstances, Chefora may issue account credits, promotional credits, or courtesy credits. Such credits may expire and have no cash value unless required by law.

15. Force Majeure

Chefora shall not be responsible for delays, cancellations, or failures resulting from circumstances beyond reasonable control, including natural disasters, severe weather, power outages, government actions, public health emergencies, and internet outages.

16. Final Decision

To the fullest extent permitted by law, refund determinations made by Chefora after investigation shall be final.

17. Policy Changes

Chefora may modify this Policy at any time. Updated versions become effective upon publication on the Platform.

IMPORTANT LEGAL NOTICE — PLEASE READ THIS LIABILITY DISCLAIMER CAREFULLY BEFORE USING THE CHEFORA PLATFORM. BY ACCESSING, USING, PURCHASING THROUGH, OR SELLING THROUGH CHEFORA, YOU ACKNOWLEDGE AND AGREE TO THIS DISCLAIMER.

1. Platform Status

Chefora is an online technology marketplace that facilitates connections between independent food sellers ("Chefs") and customers ("Buyers"). Chefora is not a restaurant, food manufacturer, grocery store, catering company, meal preparation service, food distributor, food delivery company, food handler, health inspector, or regulatory authority. Chefora does not prepare, cook, package, store, transport, deliver, inspect, test, certify, or approve food products.

2. Independent Sellers

All food products listed on the Platform are offered by independent third-party sellers. Each Chef operates an independent business and is solely responsible for compliance with food laws, health code compliance, permits and licenses, food safety, ingredient sourcing, food preparation, food storage, packaging, labeling, transportation, delivery, allergen disclosures, and product descriptions. Chefora does not supervise or control a Chef's kitchen operations.

3. No Guarantee of Compliance

Although Chefora may request permits, licenses, certifications, or other documentation, such reviews are conducted solely for marketplace administration purposes. Chefora does not guarantee that any seller is legally compliant, maintains valid permits, operates safely, meets health code requirements, or meets food safety standards. Any seller verification performed by Chefora shall not be interpreted as certification, endorsement, inspection, or approval.

4. Foodborne Illness Risk

Food consumption involves inherent risks, which may include foodborne illness, bacterial contamination, viral contamination, improper storage, improper preparation, cross-contamination, and temperature control failures. By purchasing food through the Platform, Buyers voluntarily assume these risks.

5. Allergen Disclaimer

Food products may contain or come into contact with peanuts, tree nuts, milk, eggs, soy, wheat, fish, shellfish, sesame, and other allergens not disclosed by a Chef. Chefora cannot guarantee allergen-free preparation environments. Individuals with food allergies, sensitivities, dietary restrictions, or medical conditions should exercise extreme caution when purchasing food products through the Platform.

6. Nutritional Information Disclaimer

Any nutritional information, calorie estimates, dietary classifications, ingredient descriptions, or health-related statements displayed on the Platform are provided by independent sellers. Chefora does not verify the accuracy of such information.

7. Product Quality Disclaimer

Chefora makes no representations regarding taste, freshness, quality, portion size, presentation, consistency, nutritional value, or ingredient accuracy. All product-related representations are made solely by the seller.

8. Delivery Disclaimer

Chefora does not guarantee delivery times, delivery quality, delivery availability, or product condition upon arrival. Delays may occur due to traffic, weather, seller issues, emergencies, or circumstances beyond Chefora's control.

9. User Assumption of Risk

By using the Platform, Buyers voluntarily assume all risks associated with ordering food, consuming food, communicating with sellers, product quality issues, food allergies, foodborne illness, and delivery issues. Users agree that they are solely responsible for determining whether products are appropriate for their individual needs and circumstances.

10. No Professional Advice

Information provided through the Platform is for general informational purposes only. Nothing on the Platform constitutes medical advice, nutritional advice, dietary advice, legal advice, regulatory advice, or business advice. Users should consult qualified professionals when appropriate.

11. Limitation of Liability

To the maximum extent permitted by law, Chefora, its owner, officers, employees, contractors, successors, affiliates, and agents shall not be liable for foodborne illness, allergic reactions, injury, death, product defects, regulatory violations, health code violations, delivery failures, property damage, economic loss, lost profits, lost revenue, lost data, emotional distress, or consequential, incidental, indirect, or punitive damages, whether arising in contract, tort, negligence, strict liability, product liability, or otherwise.

12. Liability Cap

To the fullest extent permitted by law, Chefora's maximum aggregate liability for any claim shall not exceed the greater of (A) one hundred U.S. dollars ($100.00); or (B) the amount of fees retained by Chefora from the transaction giving rise to the claim.

13. Release of Claims

Users voluntarily release and discharge Chefora from any claims arising from food preparation, food sales, food consumption, seller conduct, seller representations, product quality, product safety, and delivery issues, except where such release is prohibited by applicable law.

14. California Civil Code Section 1542 Waiver

To the fullest extent permitted by law, users waive the protections of California Civil Code Section 1542, which states: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release."

15. Indemnification

Users agree to defend, indemnify, and hold harmless Chefora from claims arising out of their conduct, their negligence, their violations of law, their misuse of the Platform, and food products they prepare, sell, purchase, or consume.

16. Governing Law

This Disclaimer shall be governed by the laws of the State of California.

17. Acknowledgment

By using the Platform, users acknowledge that they have read, understood, and agreed to this Liability Disclaimer.
